I think a mpeg2 -> mpeg4 is a great idea.  With the way the industry is
looking right now, it could be an extremely popular tool.

Possible uses:

DVD -> DivX
    yeah, duh
Mpeg2 Caputre Cards (Hauppaug PVR) -> DivX
    Usefull for creating a simpsons / south park archive
Tivo -> DivX
    It isn't possible yet, but it WILL happen.
HDTV -> DivX
    This might take a little longer.
